Please read these Terms of Service carefully before using the services of Shanghai Anzi Trans. By accessing our website at www.anzitrans.com or engaging our services, you agree to be bound by these terms. If you do not agree, please do not use our services.
1. Definitions
In these Terms of Service:
- 'Company', 'We', 'Us', 'Our': Refers to Shanghai Anzi Trans, a translation and language services provider based in Shanghai, China.
- 'Client', 'You', 'Your': Refers to the individual, company, or entity engaging our services.
- 'Services': Refers to translation, interpretation, transcreation, editing, proofreading, transcription, and related language services provided by the Company.
- 'Deliverables': Refers to the completed work product provided to the Client.
- 'Source Materials': Refers to documents, files, audio, video, or other materials provided by the Client for processing.
- 'Agreement': Refers to these Terms of Service together with any specific project quotation or contract.
2. Scope of Services
2.1 Service Description
Anzi Trans provides professional language services including but not limited to:
- Document Translation (written text translation across 100+ languages)
- Interpretation Services (simultaneous, consecutive, and liaison interpretation)
- Transcreation (creative adaptation of content for target markets)
- Editing and Proofreading (linguistic and stylistic review)
- Transcription Translation (audio/video transcription with translation)
- Localization (adaptation of software, websites, and media)
2.2 Service Modifications
We reserve the right to modify, suspend, or discontinue any service at any time. We will provide reasonable notice where practicable.
3. Client Obligations
By engaging our services, you agree to:
- Provide accurate, complete, and legible Source Materials
- Disclose any specialized terminology, style guides, or reference materials
- Specify the target audience, purpose, and intended use of the translation
- Respond to queries within a reasonable timeframe to avoid project delays
- Ensure you have the legal right to submit Source Materials for translation
- Inform us of any confidential or sensitive nature of the materials
- Pay all fees in accordance with the agreed payment terms
4. Quotations and Pricing
4.1 Quotations
All quotations are based on the information provided by the Client at the time of request. Quotations are valid for 30 days unless otherwise stated. We reserve the right to revise quotations if:
- The scope of work changes significantly
- Source Materials differ from what was originally described
- Additional services are requested
- Project complexity is greater than initially assessed
4.2 Pricing Structure
Fees are typically calculated based on:
- Word count or character count (for written translation)
- Duration (for interpretation - per hour, half-day, or full-day)
- Project complexity and subject matter expertise required
- Urgency and turnaround time
- Language pair rarity
- Additional services (DTP, formatting, certification, etc.)
4.3 Taxes
All quoted prices are exclusive of applicable taxes unless explicitly stated otherwise. The Client is responsible for all applicable taxes, duties, and government charges.
5. Payment Terms
5.1 Payment Schedule
- New Clients: Full payment or 50% deposit may be required before work commencement
- Established Clients: Net 15 or Net 30 days from invoice date, as agreed
- Large Projects: Milestone-based payments may be arranged
5.2 Payment Methods
We accept payment via bank transfer, PayPal, WeChat Pay, Alipay, and other methods as agreed. All bank charges are borne by the Client unless otherwise agreed.
5.3 Late Payments
Late payments may incur interest at the rate of 1.5% per month (or the maximum permitted by law) on the outstanding balance. We reserve the right to suspend services for accounts with overdue payments exceeding 30 days.
6. Project Timeline and Delivery
6.1 Turnaround Time
Delivery timelines are estimates based on the information provided at project commencement. While we strive to meet all deadlines, we are not liable for delays caused by:
- Client's failure to provide necessary information or feedback
- Force majeure events (natural disasters, strikes, pandemics, etc.)
- Technical failures beyond our reasonable control
- Changes to project scope requested by the Client
6.2 Delivery Method
Deliverables are typically provided via email, cloud storage link, or client portal. The Client is responsible for downloading and verifying files promptly.
7. Quality Assurance and Revisions
7.1 Quality Standards
We commit to providing accurate, culturally appropriate translations performed by qualified native speakers or subject matter experts. All work undergoes quality review before delivery.
7.2 Revision Policy
- We offer one round of free revisions for any errors or omissions attributable to our translators, provided the request is made within 14 days of delivery
- Revisions required due to changes in Source Materials or Client requirements after project commencement may incur additional charges
- Revisions requested beyond 14 days may be subject to additional fees
7.3 Dispute Resolution
If you believe the Deliverables do not meet the agreed specifications, you must notify us in writing within 14 days of delivery with specific details of the concerns. We will review and address legitimate concerns promptly.
8. Confidentiality
8.1 Confidentiality Obligations
We treat all Source Materials and project information as strictly confidential. Our linguists and staff are bound by confidentiality agreements. We will not disclose your information to third parties except as necessary to provide the Services or as required by law.
8.2 Data Security
We implement industry-standard security measures to protect your data. However, we cannot guarantee absolute security of data transmitted over the internet.
9. Intellectual Property
9.1 Ownership of Deliverables
Upon full payment, the Client receives full ownership and intellectual property rights to the Deliverables, excluding our pre-existing tools, methodologies, and translation memories.
9.2 Use of Translation Memories
We may retain and use anonymized segments from completed projects to build translation memories and glossaries for future efficiency. These do not contain confidential or identifiable information.
9.3 Client Content
The Client warrants that they own or have obtained all necessary rights to the Source Materials and that the materials do not infringe on any third-party intellectual property rights.
10. Limitation of Liability
10.1 Disclaimer
Our Services are provided 'as is' without warranties of any kind, either express or implied, except as explicitly stated herein. We do not warrant that the Services will be error-free or uninterrupted.
10.2 Liability Cap
To the maximum extent permitted by law, our total liability arising from or related to these Terms or the Services shall not exceed the total amount paid by the Client for the specific project giving rise to the liability.
10.3 Excluded Damages
We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, even if advised of the possibility of such damages.
11. Indemnification
The Client agrees to indemnify, defend, and hold harmless Shanghai Anzi Trans and its employees, contractors, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:
- The Client's breach of these Terms
- The Client's violation of any law or third-party rights
- The content of the Source Materials provided by the Client
- The Client's misuse of the Deliverables
12. Termination
12.1 Termination by Client
The Client may terminate a project by providing written notice. The Client will be liable for:
- All work completed up to the termination date
- Any non-cancelable commitments made on behalf of the Client
- A cancellation fee of up to 30% of the total project fee if termination occurs after work has commenced
12.2 Termination by Company
We may terminate services immediately if the Client:
- Violates these Terms
- Provides fraudulent or illegal materials
- Fails to make timely payments
- Engages in abusive or harassing behavior toward our staff
13. Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, terrorism, strikes, pandemics, government actions, or internet service failures.
14. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of China. Any disputes shall be subject to the exclusive jurisdiction of the courts of Shanghai, China. Both parties agree to attempt good-faith negotiation before resorting to litigation.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with any project-specific quotation or agreement, constitute the entire agreement between the parties regarding the Services and supersede all prior agreements, understandings, and communications.
17. Amendments
We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. Continued use of our Services after changes constitutes acceptance of the revised Terms.
